Wonder,
At what point do you get the !access denied! Error message?? does the transfer procedure start at all?? could it be that your downloaded image is password protected??
well check these little but important points below, they can help:
-Verify if your downloaded image is the required size cos you could have an incomplete download of the image.
-You also might want to delete flash to be double sure there is no hidden corrupt image sitting in there
switch: delete flash: <Correct filename>
-Compare the available space in flash to the downloaded image on your PC to be sure the new image will fit.
switch: dir flash:
-After your copy: xmodem: flash: filename procedures
be sure to select the Xmodem protocol in the Send File dialog box and select the required image(.bin file) on your PC
I had to go through the produre about 3times but it worked and the transfer takes quite some time depending on the size of your image let me know how it goes

I have a Cisco Catalyst2950 switch that was corrupted during a practical with my IT students. The flash directory contents were deleted. Can you help me resuscitate my switch
The system has been interrupted prior to initializing the flash file system. These
commands will initialize the flash file system, and finish loading the operating system
software:
flash_init
load_helper
boot
switch: flash_init
switch: load_helper
switch: dir flash: the directory is empty
I tried the xcopy as follows, it give me an error !access denied!
switch: copy xmodem: flash: c2950-i6q4l2-mz.121-13.EA1.bin
